1. Introduction

Welcome to AI Tech (“we”, “us”, or “our”). These Terms and Conditions (“Terms”) govern your access to and use of our services, including but not limited to website development, AI chatbot creation using OpenAI API, social media management, and other software technologies provided by AI Tech.

By engaging our services, you (“the Client”) agree to be bound by these Terms. If you do not agree with any part of these Terms, please refrain from using our services.

3. Services

3.1 AI Chatbot Development

  • We build a chatbot prototype using the Client’s existing website data to create a knowledge base.
  • No action is required from the Client during the initial development phase.
  • A prototype fee amounting to 10% of the completion fee is payable, unless waived at our sole discretion.
  • Upon completion of the prototype, the Client tests the chatbot and provides feedback for improvements.
  • We refine the prototype into the final chatbot based on the Client’s feedback.
  • The completion fee is payable only if the client is satisfied with the final chatbot and wishes to implement it on their website.
  • A monthly fee proportional to the AI usage costs from OpenAI applies thereafter.

3.2 Website Development and Other Services

  • We offer website development, social media account creation, and management services.
  • Specific terms and deliverables for these services will be detailed in individual service agreements.

4. Intellectual Property Rights

4.1 Ownership

  • All intellectual property rights in the deliverables provided to the Client are owned by AI Tech until full payment has been received.
  • Upon full payment, the Client is granted a non-exclusive, non-transferable licence to use the deliverables for their intended purpose.

4.2 Proprietary Knowledge

  • The methods, processes, and techniques used in providing our services are proprietary to AI Tech.
  • Disclosure of such proprietary information is at the sole discretion of AI Tech or as required by the courts of England and Wales.

5. Confidentiality and Data Protection

5.1 Confidentiality

  • Both parties agree to keep confidential any proprietary or confidential information received from the other party.
  • AI Tech agrees not to share the Client’s non-public data with any third parties, including other clients or entities in different countries, without the Client’s explicit consent, except as required by law.
  • This clause survives the termination of any agreements between the parties.

5.2 Data Protection

  • AI Tech is committed to complying with the General Data Protection Regulation (GDPR).
  • We process personal data lawfully, fairly, and transparently.
  • Our Privacy Policy and Cookie Policy detail how we collect, use, and protect personal data.
  • We do not transfer the Client’s data outside the European Economic Area (EEA) without adequate safeguards.
  • Client data is not shared across countries or with other clients.

6. Disclaimers and Warranties

6.1 Service Provision

  • AI Tech endeavours to provide services with reasonable care and skill.
  • We do not warrant that our services will meet all of the Client’s requirements or that they will be uninterrupted or error-free.
  • While we strive for excellence, satisfaction cannot be guaranteed.

6.2 Third-Party Services

  • We utilise third-party services such as OpenAI API and Google Analytics.
  • AI Tech is not responsible for any faults, errors, or omissions of these third-party services.
  • Any issues arising from third-party services should be addressed directly with those providers.
  • We do not take responsibility for OpenAI’s or other technology providers’ faults.

6.3 Client Satisfaction

  • If the Client is dissatisfied with our services, they may choose to terminate the engagement as per the termination clause.
  • No guarantees or warranties, express or implied, are made regarding the suitability of the services for the Client’s needs.
  • The Client may stop working with us if they are unhappy with our services.

7. Limitation of Liability

  • To the fullest extent permitted by law, AI Tech shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or data use.
  • The Client assumes full responsibility for any decisions made or actions taken based on the use of our services.
  • AI Tech shall not be held responsible for any issues caused by the use of our services.
  • AI Tech’s total liability under these Terms shall not exceed the total fees paid by the Client for the services.

8. Indemnification

  • The Client agrees to indemnify and hold harmless AI Tech from any claims, damages, liabilities, and expenses arising out of the Client’s use of our services.
  • This includes any third-party claims resulting from the Client’s actions or inactions.

9. Termination

  • Either party may terminate the engagement by providing written notice to the other party.
  • Upon termination, the Client agrees to pay for all services rendered up to the date of termination.
  • Termination does not affect any rights or remedies accrued by either party up to the date of termination.

10. Governing Law

  • These Terms are governed by and construed in accordance with the laws of England and Wales.
  • This choice of law is made for the benefit of AI Tech and shall apply regardless of the Client’s location.
  • Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Dispute Resolution

  • In the event of a dispute, both parties agree to attempt resolution through good faith negotiations.
  • If a resolution cannot be reached within 30 days, the dispute may be referred to mediation or arbitration in accordance with the rules of the Chartered Institute of Arbitrators.
  • The decision of the arbitrator shall be final and binding.

12. Use of Google Analytics

  • We utilise Google Analytics to improve our website and services.
  • By using our services, the Client consents to the processing of data by Google Analytics as described in our Privacy Policy.

13. Force Majeure

  • AI Tech shall not be liable for any failure to perform its obligations where such failure is due to events beyond its reasonable control, including but not limited to acts of God, war, terrorism, civil unrest, or government actions.

14. Entire Agreement

  • These Terms, along with any service agreements and policies referenced herein, constitute the entire agreement between the parties.
  • They supersede any prior agreements, understandings, or arrangements between the parties, whether oral or written.
  • Any amendments or modifications to these Terms must be in writing and signed by both parties.

15. Severability

  • If any provision of these Terms is found to be unenforceable or invalid, the remaining provisions shall remain in full force and effect.
  • The unenforceable or invalid provision shall be replaced with a valid provision that comes closest to the intention of the original provision.

16. Waiver

  • Failure or delay by either party to enforce any right or provision under these Terms shall not constitute a waiver of such right or provision.
  • A waiver is only effective if it is in writing and signed by the waiving party.

17. Notices

  • Any notices required under these Terms shall be in writing and sent to the registered address or email of the other party.
  • Notices sent by email shall be deemed received 24 hours after the time sent unless the sender receives a notification that the email was not delivered.

18. Assignment

  • The Client may not assign or transfer any rights or obligations under these Terms without the prior written consent of AI Tech.
  • AI Tech may assign or transfer its rights and obligations under these Terms without the Client’s consent.

19. Third-Party Rights

  • A person who is not a party to these Terms has no right to enforce any term of these Terms under the Contracts (Rights of Third Parties) Act 1999.

20. Language

  • These Terms are drafted in the English language. If they are translated into any other language, the English language text shall prevail.

21. Client’s Data Usage

  • By engaging our services, the Client grants AI Tech permission to use data from their existing website solely for the purpose of building the chatbot’s knowledge base.
  • AI Tech agrees to use this data responsibly and in compliance with all applicable laws and regulations.
  • The Client confirms that they have the rights and permissions to provide such data for use in the chatbot development.

22. Non-Disclosure of Client Data

  • AI Tech will not share, sell, or disclose the Client’s data to any third parties, including clients in other countries, without the Client’s explicit consent, except as required by law.
  • This includes data collected during the provision of services and any data used in developing the chatbot.

23. International Clients

  • AI Tech provides services to clients in the EU, UK, US, and other countries.
  • Client data is processed and stored in compliance with GDPR and other applicable data protection laws.
  • We do not share client data across countries or with other clients unless required for the provision of services and with the Client’s explicit consent.

24. Compliance with Laws

  • Both parties agree to comply with all applicable laws, statutes, regulations, and codes relating to anti-bribery and anti-corruption including but not limited to the Bribery Act 2010.
  • AI Tech complies with all export control and trade embargo laws applicable in the United Kingdom.

25. Use of Services

  • The Client agrees to use our services for lawful purposes only.
  • The Client shall not use the services to store, distribute, or transmit any viruses, or any material that is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing, or racially or ethnically offensive.
